Terms of Service

The terms that govern Influity.ai, the client portal, sponsored posts and the AI influencer channels IP HOUSE CORP builds and runs for clients.

Effective October 6, 2026
The short version

Four things to know before you read the rest.

Your Order is the deal

These Terms set the ground rules. The order form, proposal or checkout you confirm sets the scope, price and any special arrangement, and it wins if the two differ.

Monthly, in advance, auto-renewing

Exclusive accounts bill monthly through Stripe with a 24-hour notice before each charge. Cancel with 30 days' notice before a renewal. Started periods and setup work are not refunded.

You own your channel, we keep our engine

Once paid, the content, accounts and persona of an exclusive channel are yours. Our production system, methods and tooling stay ours.

Platforms decide reach

We follow every platform's rules, but we do not control their algorithms or enforcement, and we do not promise views, followers or sales unless your Order says so.

1. The agreement

These Terms of Service (the "Terms") are a contract between you and IP HOUSE CORP, a Florida corporation (registration no. P26000003738) doing business as Influity.ai ("Influity", "we", "us"). They govern your use of influity.ai, our client portal, and the services we provide: sponsored posts on channels we operate, exclusive AI influencer channels built and run for you, and account fleets (together, the "Services").

By using the website, creating or using a portal account, signing an order, paying an invoice or otherwise using the Services, you accept these Terms. If you are acting for a company, you confirm you have authority to bind it, and "you" means that company. If you do not agree, do not use the Services.

Each engagement is described in an order form, proposal, checkout page, payment link or email that we both confirm (an "Order"). An Order may add to or vary these Terms; where it conflicts with them, the Order wins for that engagement. Our Privacy Policy explains how we handle personal information and forms part of these Terms.

2. What we provide

We build and operate AI influencer channels: synthetic on-screen personas, researched and scripted content, AI-generated video and audio, daily publishing, community engagement, growth systems and performance reporting, as described on our pricing page and in your Order. The main engagement types are:

  • Sponsored posts. Your message, delivered through a persona and channel we already operate, one post at a time with no ongoing commitment.
  • Exclusive accounts. A custom persona and channel in your niche, built for you and run by us on a monthly subscription, with a one-time setup fee.
  • Account fleets. Several exclusive accounts across niches under one strategy, priced per Order.

Inclusions, posting cadence, platforms covered and add-ons (such as an X channel) are those stated in your Order. Anything not listed is out of scope, and we are happy to quote it. We may change tools, models, vendors and production methods at any time, provided the deliverables in your Order are still met.

We take on a limited number of channels at a time. Accepting an inquiry, a call or a deposit does not commit us to an engagement until an Order is confirmed.

3. Your portal account

Clients receive access to a portal where they can review work, approve content, see invoices and manage their engagement. You are responsible for keeping your credentials confidential, for every action taken under your account, and for making sure only people authorised to act for your company use it. Tell us immediately at info@influity.ai if you believe an account has been compromised. We may suspend an account that we reasonably believe is being misused.

4. What we need from you

Our work depends on timely input. You agree to:

  • give us accurate information about your business, products, claims and goals, and tell us promptly when any of it changes;
  • provide brand assets, product details, access to social accounts and any approvals within the time frames in your Order, so publishing stays on schedule;
  • make sure anything you give us (logos, images, footage, music, copy, customer data, claims and statistics) is accurate, lawful, and yours to use, and that it does not infringe anyone's rights;
  • comply with the terms of every platform your channels run on (Meta, TikTok, YouTube, X and others), and with advertising, consumer protection, endorsement and sector-specific rules that apply to your products, including any disclosure your industry requires (for example for financial, health, alcohol, gambling or regulated products);
  • not ask us to promote anything unlawful, deceptive, hateful, adult, dangerous or in breach of platform policies, and not to make claims about your products that you cannot substantiate;
  • keep the required legal notices, licences and permissions in place for your business.

If a delay on your side pushes work out, your subscription period and billing continue unchanged, and we will reschedule as capacity allows.

5. Content, approvals and editorial control

We research, write, produce and publish the content. For exclusive accounts you can review and request changes to content through the portal within the review window stated in your Order; if we hear nothing within that window, the content is treated as approved and published. Revisions are limited to the number set out in your Order; further revisions may be billed at our then-current rates.

For sponsored posts, the persona, the channel and its editorial voice are ours. We will present your message in a way that fits the persona and audience, and we may decline, edit or delay a post that does not fit, that breaches platform rules or the law, or that could damage the channel. If we decline a post before production, we refund it.

The content is generated with AI and reviewed by people. It may contain mistakes. You are responsible for checking that any factual, financial, legal, medical or product claim about your business is correct before you approve it, and for every claim you ask us to make.

Sponsored and paid content is labelled as the platform and the law require (for example "paid partnership" or #ad), and we may disclose that a persona is AI-generated where a platform or law requires it. You must not ask us to remove a required disclosure.

6. Fees, billing and payment

  • Prices. The fees are those in your Order. The "from" prices on our website are starting points and are not an offer; the Order controls. Prices are in U.S. dollars and exclude taxes, which are added where they apply.
  • Setup fee. The one-time setup fee for an exclusive account covers persona creation, research and channel build. It is due before work starts and is non-refundable once work has started.
  • Subscriptions. Monthly services are billed in advance on a recurring basis through Stripe, starting on the date in your Order. By providing a payment method you authorise us to charge each period's fee, add-ons you have agreed to, and applicable taxes, automatically until the subscription ends. We send an invoice-style notice about 24 hours before each charge.
  • Sponsored posts are paid in full before production.
  • Late or failed payment. If a charge fails we will retry and notify you. If an amount stays unpaid for 7 days we may pause publishing and portal access; if it stays unpaid for 30 days we may end the engagement. Overdue amounts may bear interest at 1.5% per month or the maximum the law allows, whichever is less, plus reasonable collection costs.
  • Price changes. We may change subscription prices with at least 30 days' written notice; the new price applies from your next renewal after the notice period. If you do not accept it, you can cancel before that renewal.
  • Disputes. Questions about an invoice must be raised within 30 days of the invoice date.

7. Term, cancellation and refunds

  • Term. Exclusive accounts and fleets run for the initial term in your Order (one month if none is stated) and then renew automatically for successive monthly periods until cancelled.
  • Cancelling. Either of us may cancel a subscription by written notice (email is fine) at least 30 days before the next renewal date. Cancellation takes effect at the end of the then-current paid period; we keep delivering until then.
  • Refunds. Fees are not refundable for periods already started, for setup work already begun, or for published or produced sponsored posts, except where these Terms or the law say otherwise. If we end an engagement for our convenience, we refund any prepaid fees for periods we will not deliver.
  • Our right to end. We may suspend or end the Services immediately if you breach these Terms, if your account or content causes a platform strike, suspension or legal risk, if payment is overdue as described above, or if a platform change makes the Services impracticable. In that case we refund any prepaid fees for undelivered full periods unless the ending was caused by your breach.
  • Hand-over. When an exclusive engagement ends and all fees are paid, we transfer the channel accounts and the deliverables to you as set out in section 8, and we remove our access within 14 days. We may keep copies as required by law and for our records.

8. Ownership and intellectual property

Your materials

You keep everything you give us. You grant us a non-exclusive, worldwide licence to use, reproduce, adapt and publish your materials, name, logos and trademarks for the purpose of providing the Services, for the length of the engagement and for as long as published content remains online.

Deliverables and exclusive channels

For exclusive accounts and fleets, once the fees for the relevant period are paid you own the published content we created for you, the channel accounts, their followers and the persona's name and likeness as used on those channels, subject to the platform's terms. Your Order sets out any revenue share, buy-out or other arrangement that applies if you sell or transfer the channel, and any such term in your Order prevails over this section. Until an Order is signed and paid, the deliverables remain ours.

Sponsored posts

For sponsored posts, the persona, the channel, its audience and the content remain ours. You receive the right to share and re-post the content that features your brand, with credit, for as long as it remains online.

What we keep

We own and keep our production system, prompts, templates, workflows, voice and face reference sets, software, research methods, know-how and anything we had before the engagement or develop for general use, and all improvements to them. We may re-use general techniques, formats and non-confidential learnings from your engagement for other clients, but never your confidential information, your materials or your persona.

AI-generated output

Content produced with generative AI may not be eligible for copyright protection in some jurisdictions, and similar outputs may be generated for others. We do not promise exclusivity over any style, look or voice beyond the specific persona and content delivered to you, and we make no warranty about registrability of AI-generated material.

Portfolio and publicity

We may name you as a client and show the public content we made for you in our portfolio, case studies and marketing, unless you ask us in writing not to.

9. Social platforms and results

The Services run on platforms we do not control. Platforms change their rules, algorithms, features and policies on AI-generated content without notice, and may limit reach, remove content, or suspend or delete an account at any time. We follow platform rules and work to resolve issues, but we are not responsible for a platform's decisions, outages, reach changes or data loss, and these do not entitle you to a refund except as stated in section 7.

Figures on our website and in our materials describe past results and are not promises. Views, followers, engagement, leads, sales and revenue depend on factors outside our control. Unless your Order states a specific guarantee, we do not guarantee any particular result.

Where your channels are connected to us, you grant us the platform roles and access needed to do the work, and you agree we may act on those accounts on your behalf for the purpose of the Services. You remain the account owner and are responsible for keeping recovery details and ownership in your name.

10. Confidentiality

Each of us will keep the other's non-public business information confidential, use it only for the engagement, and protect it with reasonable care, for the length of the engagement and three years afterwards. This does not apply to information that is public through no fault of the receiver, already known to the receiver, independently developed, or required to be disclosed by law (with notice where allowed). Our content strategy, scripts, production methods and pricing for you are our confidential information; your unreleased products, plans and customer data are yours.

11. Acceptable use of the website and portal

You agree not to: access the website or portal other than through the interfaces we provide; probe, scan or test their security; scrape, crawl or copy content at scale; interfere with their operation; upload malicious code; impersonate anyone; use the Services to send spam or unlawful content; or reverse engineer any part of our systems. We may remove content and restrict access to protect the Services and other users.

12. Disclaimers

Except as expressly stated in these Terms or an Order, the Services and the website are provided "as is" and "as available". To the fullest extent the law allows, we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing. We do not warrant that the Services will be uninterrupted or error-free, that content will remain online, or that AI-generated output will be accurate, original or free of third-party claims. Nothing on our website is legal, financial or professional advice.

13. Limitation of liability

To the fullest extent the law allows, neither of us is liable to the other for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, goodwill, data or business opportunity, however caused and under any theory of liability, even if advised of the possibility.

Our total liability for everything arising out of or relating to the Services, the website and these Terms is limited to the fees you paid us in the 12 months before the event giving rise to the claim (or, for a sponsored post, the fee for that post). These limits do not apply to a party's fraud, gross negligence or wilful misconduct, to your payment obligations, to either party's indemnity obligations, or to liability that cannot be limited by law.

14. Indemnification

You will defend, indemnify and hold us harmless from third-party claims, losses and reasonable costs (including legal fees) arising from your materials, your products and services, claims you asked us to make, your breach of these Terms or of platform rules or law, or your use of the deliverables after hand-over. We will defend, indemnify and hold you harmless from third-party claims that content we created (excluding your materials and claims you supplied) infringes a U.S. copyright or trademark, provided you notify us promptly, let us control the defence and cooperate; we may modify or replace the content or, if that is not reasonable, end the affected Service and refund prepaid fees for the undelivered period.

15. Governing law and disputes

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. Before starting any formal proceeding, each of us agrees to raise the dispute in writing and try in good faith to resolve it within 30 days. Any claim that is not resolved will be brought exclusively in the state or federal courts located in Miami-Dade County, Florida, and each of us consents to their jurisdiction, except that either party may seek injunctive relief in any court to protect its intellectual property or confidential information. To the extent permitted by law, each of us waives a jury trial and agrees that claims are brought individually and not as a class or representative action. Any claim must be brought within one year after it arises.

16. General terms

  • Changes to these Terms. We may update these Terms. The effective date at the top shows the current version. For existing clients, material changes apply from your next renewal after we notify you by email or through the portal; continued use after that means you accept them.
  • Notices. Notices to us go to info@influity.ai or the postal address in section 17. Notices to you go to the email on your account.
  • Independent contractors. We are independent contractors; nothing creates a partnership, joint venture, agency or employment relationship.
  • Subcontractors and tools. We may use subcontractors, freelancers and third-party AI, hosting and payment providers to deliver the Services; we remain responsible for our obligations.
  • Non-solicitation. During the engagement and for 12 months afterwards, neither of us will knowingly solicit for employment the other's staff who worked on the engagement, without consent.
  • Force majeure. Neither of us is liable for delay or failure caused by events beyond reasonable control, including platform outages, internet failures, labour disputes, natural disasters or government action, except for payment obligations.
  • Assignment. You may not assign these Terms without our written consent; we may assign them to an affiliate or a successor to our business.
  • Whole agreement. These Terms, the Privacy Policy and your Order are the whole agreement between us about the Services and replace earlier discussions. If any part is unenforceable, the rest still applies. A failure to enforce a right is not a waiver of it.
  • Survival. Sections 6 to 8 and 10 to 16 survive the end of the engagement.
